can a bedroom not have a ceiling/?

I want to turn a one bedroom loft into a two bedroom loft. It has 40' ceiling and the second level is 12' above finished floor. The bedrooms will be located on the second level. Can I build 12' dividing and perimeter walls on the second level without ceilings and still call this a two bedroom?

What you're doing is merely dividing a room into two spaces in an open loft sleeping area. Will both have egress window? Does one have to go through one bedroom to go to the rest of the house? That probably won't qualify as 2 bedrooms with or without permits. But if permitted, you can go to the county records office and ask for a change in how the property is described, whether the division qualifies it to be 2-bedroom property.

You can talk to a licensed Contractor, or you can go down to the Building Department with pictures; but you will have to get help.
Doing this without PERMITS is unthinkable to me.

What I think you're suggesting is that the wall, between the two bedrooms, doesn't go all the way to the ceiling.... so both rooms do have a ceiling (12 feet tall)... but the walls might be 8 or 9 feet.

Without a ceiling, that'd be called a Patio.
