Both cities are great. Downside really depends on your lifestyle. The only difference I see is that Pleasanton has a Bart station.

Update on this answer:
Without 'special circumstances' ie; job transfer...2 years
Any other reason 4 years...which is standard now.
These changes went into effect July 2014.
